Acceptance of Terms
IMPORTANT — PLEASE READ CAREFULLY: By creating an account or using the LAmrUG service, you agree to be bound by these terms and conditions.
Welcome to the LAmrUG service and website (collectively, the “Service”). Your use of the Service is governed by these Terms of Service and LAmrUG’s Privacy Policy (collectively, the “Agreement”). These Terms of Service constitute a legal agreement between you and LAmrUG Inc. (“LAmrUG”). The term “you” refers to any individual who creates an account on the Service, or, if you are using the Service on behalf of an entity, then “you” refers to that entity. If you are accessing the Service on behalf of your employer, you represent and warrant that you have the authority to agree to these Terms of Service on its behalf. If you do not agree with these terms, you should not use the Service. LAmrUG reserves the right to update and change this Agreement from time to time without prior notice. The updated Agreement will also apply to the use of the Service on a trial basis. By continuing to use the Service, you signify your irrevocable acceptance of the Agreement. The website and any associated software are protected by copyright laws and other intellectual property laws and treaties.
Description of Service
The Service includes, and is limited to, a service, website, or mobile application that allows you access to and use of a single LAmrUG Account. LAmrUG is an online collaboration tool designed to organize projects into tech packs. The Service may contain various types of content, including information, data, text, photographs, videos, audio clips, written posts and comments, software, scripts, graphics, and interactive features (collectively, the “Content”). Subject to these Terms of Service, LAmrUG grants you and each user a worldwide, non-exclusive, non-sub-licensable, and non-transferable license to use the Content solely for the purposes of using the Service. Any other use, reproduction, modification, distribution, or storage of Content for purposes other than using the Service is expressly prohibited without prior written permission from LAmrUG. You shall not sell, license, rent, or otherwise use or exploit any Content for commercial use or in a way that violates any third-party rights. Content also includes all User Content, as defined below.
A “LAmrUG Account” or “Account” refers to a service, website, or mobile application provided by LAmrUG where you can create, update, share, and publish information, data, text, messages, or other materials (“User Content”).
The Service is not designed or licensed for use in hazardous environments requiring fail-safe controls, including without limitation the operation of nuclear facilities, aircraft navigation/communication systems, air traffic control, and life support or weapon systems.
Unless explicitly stated otherwise, any new features that enhance the current Service, including new tools and resources, are subject to this Agreement. To use the Service, you must have access to the World Wide Web, either directly or through devices that access web-based content, and pay any fees associated with such access. You must provide all equipment necessary to connect to the World Wide Web, including a computer and modem or other access device. You also agree that the Service may include certain communications from LAmrUG, such as service announcements and administrative messages, which are part of the Service, and you will not be able to opt out of receiving them. You agree not to access the Service by any means other than through the interfaces provided by LAmrUG. LAmrUG reserves the right to modify the features of the Service at its sole discretion without prior notice.
Registration
To use the Service, you must have a valid Account. To create an Account, you must provide LAmrUG with a valid email address and other required information (“Registration Data”). You are responsible for maintaining the confidentiality of your Account’s access data and are fully responsible for all activities that occur under your Account. You agree to (a) immediately notify LAmrUG of any unauthorized use of your Account or any other breach of security, and (b) ensure that you exit from your Account at the end of each session. LAmrUG will not be liable for any loss or damage arising from your failure to comply with this section. In consideration of your use of the Service, you agree to:
- Provide true, accurate, current, and complete information about yourself as prompted by the Service’s registration form, and
- Maintain and promptly update the Registration Data to keep it true, accurate, current, and complete.
LAmrUG assumes no responsibility for verifying such information as further detailed in the “User-Generated Content” section of these Terms of Service. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if LAmrUG has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, LAmrUG has the right to suspend or terminate your Account and refuse any and all current or future use of the Service (or any portion thereof). By using the Service and registering an Account, you represent and warrant that you are at least 13 years of age. No one under the age of 13 may use the Service except as set forth below under “Kids Under 13 and LAmrUG.” LAmrUG may, at its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, rules, and regulations, and the right to access the Service is revoked where these Terms of Service or the use of the Service is prohibited or conflicts with any applicable law, rule, or regulation.
Kids Under 13 and LAmrUG
LAmrUG is not directed at children, and any use by children should be done with the guidance, supervision, and consent of their parents, guardians, or authorized school officials. LAmrUG relies on parents and guardians to ensure that minors use LAmrUG only if they understand their rights and responsibilities as outlined in these Terms of Service and LAmrUG’s Privacy Policy.
If you are a school, district, or teacher in the United States and want your students under the age of 13 to create LAmrUG Accounts, you agree that you are responsible for complying with the Children’s Online Privacy Protection Act (COPPA) and, to the extent applicable, the Family Educational Rights and Privacy Act (FERPA). This means you must notify the students’ parents/guardians of the personally identifiable information that LAmrUG will collect, and you must obtain parental/guardian consent before your students establish Accounts or use LAmrUG. When obtaining such consent, you must provide parents/guardians with a copy of LAmrUG’s Privacy Policy. You must keep all consents on file and provide them to LAmrUG upon request. If you are located outside of the United States, LAmrUG will rely on you to obtain any required consent or approval from the parent or guardian of any student covered by similar laws. As a condition of your students’ use of LAmrUG, you agree to be responsible for complying with such laws.
Billing and Payment Terms
Additional features may be added to the Service and made available to you as a paid upgrade (“Paid Plan”). If you choose to subscribe to a Paid Plan, you will be required to pay fees to LAmrUG. Upon selecting a Paid Plan, you will provide LAmrUG with the necessary billing information (“Billing Data”).
LAmrUG uses the Stripe payment platform to accept and process payments, as it handles billions of dollars annually worldwide. LAmrUG will accept credit cards, debit cards, and ACH payments (USA only) for the payment of monthly, quarterly, and yearly subscription fees (“Subscription Fee”) for a Paid Plan. All currency references are in U.S. dollars. Paid Plans can be paid monthly, quarterly, or yearly.
If you select a Paid Plan, you must provide current, complete, and accurate Billing Data. You must promptly update all Billing Data to keep your Account current, complete, and accurate (such as changes in billing address, credit card number, or credit card expiration date). You must promptly notify LAmrUG if your payment method changes (e.g., due to loss or theft) or if you become aware of a potential breach of security, such as the unauthorized disclosure or use of your name or password. If you fail to provide any of the foregoing information, LAmrUG may continue charging you for any use of the Paid Plan under your Billing Data unless you have terminated your Paid Plan as set forth herein.
For the Monthly Subscription Fee Mode, the credit card provided as part of the Billing Data will be automatically and immediately debited the Subscription Fee on the same day every month that you sign up. You agree that LAmrUG may charge your credit card for all amounts due for your Account on that monthly basis or upon cancellation (see “Termination, Breach, Suspension, and Cancellation” and “Refund”).
For the Quarterly Subscription Fee Mode, the credit card provided as part of the Billing Data will be automatically and immediately debited the Subscription Fee on the same day every three months that you sign up. You agree that LAmrUG may charge your credit card for all amounts due for your Account on that quarterly basis or upon cancellation.
For the Yearly Subscription Fee Mode, the credit card provided as part of the Billing Data will be automatically and immediately debited the Subscription Fee on the same day every year that you sign up. You agree that LAmrUG may charge your credit card for all amounts due for your Account on that yearly basis unless you cancel the Account.
LAmrUG will contact you via email to alert you upon each charge. LAmrUG may change prices at any time without prior notice, but will endeavor to provide reasonable advance notice via email. You agree that in the event LAmrUG is unable to collect the fees owed to LAmrUG for your Account through your Subscription Fee, LAmrUG may take any other steps it deems necessary to collect such fees from you, and that you will be responsible for all costs and expenses incurred by LAmrUG in connection with such collection activity, including collection fees, court costs, and attorneys’ fees.
When you cancel a Paid Plan, you will be downgraded to the Free Plan at the end of your billing period, and no longer charged.
When your Paid Plan is canceled, you will no longer be charged; however, you are solely responsible for properly canceling your Account. Account termination may result in the destruction of any Content associated with your Account, so save any Content you wish to retain before canceling your Paid Plan. Termination or suspension of your account does not relieve your obligation to pay all fees due, up to and including the date of termination or suspension.
Refunds
LAmrUG accounts are prepaid and non-refundable. LAmrUG does not provide refunds or credits for any partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. You may cancel your account at any time but will not be issued a refund.
Upon requesting a downgrade of your Account, you may lose Content, features, or capacity of your Account. LAmrUG does not accept any liability for such losses.
Termination, Breach, Suspension, and Cancellation
If your Subscription Fee payment is overdue for any reason, LAmrUG reserves the right to either suspend or terminate your Paid Plan. Any suspension or termination of your Paid Plan for non-payment may result in a downgrade of your Account to the Free Plan. Upon such a downgrade, you may lose Content, features, or capacity of your Account. LAmrUG does not accept any liability for such losses.
If you breach any provision of this Agreement, LAmrUG may suspend or terminate your Account or Paid Plan, resulting in a downgrade to the Free Plan. Any suspension or termination will not relieve you of your obligation to pay any amounts owed to LAmrUG.
LAmrUG reserves the right to suspend or terminate your Account at any time for any reason, with or without notice. Upon such suspension or termination, you will not be entitled to a refund of any kind.
If LAmrUG suspects any violation of law or regulation in connection with your use of the Service, it may report such activity to the appropriate authorities.
